General Terms and Conditions – Epicutis Benelux (B2B)

These general terms and conditions apply to all offers, orders, deliveries and agreements between Epicutis Benelux, part of The Skin Agency (“Epicutis Benelux”), and professional purchasers, including but not limited to clinics, skin therapists, dermatological practices and other professional skin care specialists (“Purchaser”).

1. Company Identity

2. Applicability
   These general terms and conditions apply to all offers, quotations, orders and agreements between Epicutis Benelux and the Purchaser. Deviations from these terms and conditions are only valid if confirmed in writing by Epicutis Benelux.

The Purchaser waives any of their own general terms and conditions, unless these have been accepted in writing by Epicutis Benelux.

3. Professional Purchasers
   Epicutis Benelux exclusively supplies to professional parties within the aesthetic, dermatological and skin therapy sector, including clinics, skin therapists, doctors and other recognized professionals.

Epicutis Benelux reserves the right to assess and refuse applications for a professional account if the professional criteria are not met.

4. Product Information and Use
   Epicutis products are developed for professional use in skin care and aesthetic treatments. The Purchaser is responsible for the correct use of the products, following product instructions, and professionally advising clients.

Epicutis Benelux is not liable for incorrect use of products or application outside the recommended guidelines.

5. Prices
   All stated prices are exclusive of VAT and exclusive of any shipping costs, unless otherwise stated.

Epicutis Benelux reserves the right to change prices, product range, and conditions at any time.

6. Orders
   An agreement is concluded when Epicutis Benelux confirms or executes an order. Epicutis Benelux reserves the right to refuse, cancel, or request additional information for orders.

7. Payment
   Payment must be made via the payment methods offered by Epicutis Benelux. Unless otherwise agreed, payment must be made in full before delivery takes place.

If payment is made by invoice, a payment term of 14 days after the invoice date applies, unless otherwise agreed in writing.

If the payment term is exceeded, the Purchaser is legally in default, and statutory commercial interest may be charged.

8. Delivery
   Epicutis Benelux strives for fast processing and shipping of orders. Delivery times are indicative and cannot be considered as strict deadlines.

Epicutis Benelux is not liable for delays caused by carriers, logistics partners or other external factors.

9. Returns and Complaints
   The Purchaser must check delivered products immediately upon receipt. Any damage, defects or inaccuracies must be reported in writing within 5 working days of receipt.

For hygienic and safety reasons, opened or used skincare products cannot be returned, unless there is a manufacturing defect or transport damage.

Returns will only be accepted after prior written approval from Epicutis Benelux.

10. Liability
    Epicutis Benelux is only liable for direct damage resulting from demonstrable shortcomings in the fulfillment of its obligations.

Epicutis Benelux is not liable for indirect damage, consequential damage, loss of turnover, damage to reputation or damage resulting from treatments performed by the Purchaser.

The Purchaser remains responsible at all times for the treatment of clients and the professional use of products.

11. Intellectual Property
    All intellectual property rights relating to products, brands, trade names, documentation, marketing material and website content remain the property of Epicutis, Epicutis Benelux or its licensors.

It is not permitted to copy, reproduce or commercially use any material without the written permission of Epicutis Benelux.

12. Distribution and Resale
    Products from Epicutis Benelux may only be sold or applied within professional practices or recognized sales channels as agreed with Epicutis Benelux.

Resale through unauthorized online platforms, marketplaces or unauthorized channels may lead to termination of the collaboration.

13. Force Majeure
    Epicutis Benelux is not liable for delays or shortcomings in the performance of obligations due to force majeure, including but not limited to transport problems, delivery problems with suppliers, pandemics, government measures or other circumstances beyond reasonable control.

14. Applicable Law
    Dutch law applies to all agreements and these general terms and conditions.

Disputes will be submitted to the competent court in the Netherlands.

15. Amendments
    Epicutis Benelux reserves the right to amend these general terms and conditions. The most current version is always available on the website.
